I have known Tidi Khobane in different capacities as a shareholder, a director, an executive and a business partner for almost two decades. She has been involved at the highest levels in a number of significant transactions and worked with boards of several global companies such as Schindler Lifts, Aristocrat, One and Only, Kerzner International, including several local companies such as Mosong Capital, TMT Traffic Management Solutions, Monate Coffee Co, etc. This wide exposure at the highest levels of corporate governance has afforded her a rare and invaluable enriching experience.

Tidi Khobane has been the Company Secretary of the One and Only companies in South Africa for approximately 16 years. This is prior to the opening of the One and Only Cape Town Hotel which started operation in 2009.
Her responsibilities include:
- Custodian of the companies’ statutory documents.
- Ensuring that the companies are compliant with relevant South African statutory bodies and acts.
- Filing of annual CIPC returns.
- Managing the Directors’ and Committee members’ conflict of interest register.
- Managing the governance function of the companies, which includes but is not limited to, the coordination and preparation for Board and Subcommittee meetings
- Preparing board packs, attending Board and Committee meetings, drafting meeting minutes, and following on actions from the meetings.
- Preparing the relevant Board resolutions.
- Preparing the Governance audit file and liaising with the audit partner during the external financial year audit.
I personally started working with Tidi in 2018 when I joined Kerzner International and became the Director of the One and Only South Africa entities.
I found the companies’ governance and compliance processes were in place and of a high standard.
Recently, Tidi worked with Kerzner International and Webber Wentzel on a Scheme of Arrangements project that saw a Dubai-based company FZE acquire shared in One and Only Cape Town Holdings.
Her qualification in Master of Laws (LLM) (Corporate Law) contributes to her understanding of the governance and the Company Laws of South Africa, which is of value to the Directors and the Companies.
Tidi’s work ethic is professional and of a high standard.

I met Tidi in early 2020 when we were in the process of putting together the Board of ALT Capital Partners, the management company of Reimagine Social Impact Retail Fund. The Chairman designate at the time facilitated the introduction.

TIdi has performed the following activities for the business since her appointment:
- Managed the corporate secretarial transition from Webber Wentzel.

- The name reservations for all the related companies that needed to be set up;
- The governance functions of the company which include but are not limited to:
– Managing the logistics of the Director meetings
– Minute taking
– Registration of Director disclosures
– Resolutions of Director decisions made
– Setting up the Board and subcommittee charters
– Annual evaluation of the company policies and Director evaluations - The BBEE affidavit attestation function of the company;
- Set up the company Data Room and has been actively engaged in the management of the company’s due diligence with various investors.
- In the time that I have had the honour of working with Tidi, I have always found her to be professional, always going beyond, pushing boundaries to meet and exceed expectations, and has added a tremendous amount of value to the company.
As someone who is always mindful of her continuing professional education, she somehow found the time to complete her LLM in Corporate Law during our engagement period.
